7. Disclaimers
7.1 General Disclaimer
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
7.2 No Guarantee of Security
We do not guarantee that our Services will prevent all security incidents, data breaches, cyberattacks, or unauthorized access. Cybersecurity is a continuously evolving field, and no security solution can guarantee absolute protection. Our Services are designed to significantly reduce risk and improve your security posture, but residual risk always remains. You acknowledge that you are solely responsible for your own security decisions and that our recommendations and products are tools to assist, not guarantees of security.
7.3 Not Legal Advice
Our templates, guides, compliance documents, and educational content do not constitute legal advice. While our documents are designed to help you meet regulatory requirements (IRS Publication 4557, FTC Safeguards Rule, HIPAA, GLBA, etc.), they should be reviewed by qualified legal counsel before implementation. Regulatory requirements vary by jurisdiction, industry, and circumstance. We are cybersecurity professionals, not attorneys, and our products should be used as one component of a comprehensive compliance program developed with appropriate legal guidance.
7.4 Third-Party Services
Our Services may integrate with or link to third-party services (Calendly, Salesforce, Klaviyo, etc.). We are not responsible for the availability, accuracy, security, or content of third-party services and disclaim all liability arising from your use of third-party services.

- Any indirect, incidental, special, consequential, punitive, or exemplary damages
- Any loss of profits, revenue, data, goodwill, or business opportunity
- Any damages arising from security incidents, data breaches, or cyberattacks, even if we have been advised of the possibility of such damages
- Any damages arising from your reliance on our templates, guides, or educational content
- Any damages arising from unauthorized access to or alteration of your data or transmissions
- Any damages exceeding the total amount you paid to us in the twelve (12) months preceding the claim
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
9. Indemnification
You agree to indemnify, defend, and hold harmless Bellator Cyber Guard, LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

- Tax reporting (Form 1099) applies to commission payments exceeding IRS thresholds
11. Service Level and Availability
We strive to maintain high availability of our Services but do not guarantee uninterrupted access. We may temporarily suspend access for maintenance, updates, or security purposes. For managed security services, service level commitments are governed by individual service agreements.

12.1 Informal Resolution
Before initiating formal proceedings, you agree to attempt to resolve any dispute informally by contacting us at guard@bellatorit.com. We will attempt to resolve the dispute within 30 days of receipt.

If informal resolution fails, any dispute arising from or relating to these Terms or our Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in the state where Bellator Cyber Guard, LLC is headquartered. The arbitrator's decision shall be final and binding.
12.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against us.
12.4 Exceptions
Nothing in this section prevents either party from seeking injunctive or equitable relief in court for intellectual property disputes or imminent harm.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Bellator Cyber Guard, LLC is organized, without regard to its conflict of law provisions.
14. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
15. Entire Agreement
These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Bellator Cyber Guard regarding the use of our Services. These Terms supersede all prior agreements, understandings, and communications (whether written or oral) regarding the subject matter herein.
16. Waiver
Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or the right to enforce it in the future. No waiver shall be effective unless in writing and signed by an authorized representative of Bellator Cyber Guard.
17. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
18. Force Majeure
We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, acts of war or terrorism, epidemics, government actions, power failures, internet or telecommunications outages, or cyberattacks on our infrastructure.
19. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will:
- Update the "Last Updated" date at the top of this page
- Post the revised Terms on our Site
- For significant changes, provide notice through email or a prominent notice on our Site
Your continued use of our Services after any changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using our Services.
